Use the checklist below to understand the steps required for company liquidation in the United Arab Emirates:

Step 1: Closing Corporate Bank Accounts

Close all active UAE bank accounts associated with the company. Obtain the Statement of Accounts for the last financial year to prepare the Liquidator’s Report. Additionally, secure a Bank Account Closure Confirmation from the respective UAE banks as proof of account closure.

Step 2: Immigration Clearance

Formally cancel all running visas under the UAE company’s sponsorship, including employee visas, dependent visas, and family visas.

Step 3: Clearance from Regulating Authorities

Obtain necessary clearances from relevant authorities based on the company’s activity. For example, a trading business must get clearances from the Ministry of Customs and the Chamber of Commerce.

Step 4: Clearances from Third-Party Liabilities

Settle all utility bills (e.g., DU/Etisalat, DEWA), and clear any outstanding payments related to office facilities. Ensure all rent payments are up to date and obtain clearance from the landlord if renting office space.

Step 5: Publication for De-registration

Publish a 15-day newspaper advertisement, or an online notice, informing the public of the company’s liquidation process. This is required based on the jurisdiction in which the company is registered.

Step 6: Company Assets

Sell or transfer all company property, vehicles, and shares in other companies. Provide proof of transfer or sale to the auditing firm preparing the Liquidator’s Report.

Step 7: Liquidator’s Report

Hire a licensed and approved auditing firm to prepare the Liquidator’s Report. This report is essential for the final stages of liquidation.

Step 8: Confirmation Certificate of License Termination and Company Deregistration

After completing all the steps, the relevant Authority will issue the final approval and release the Certificate of Company Deregistration.
